Terms & Conditions Agreement
This Terms & Conditions Agreement (“Agreement”) is between the Participant and Megan Roop, LLC, a California limited liability company, doing business as Quiet Adventures (“Quiet Adventures”). By making a purchase on this website, you expressly agree to be bound, without modification, to this Agreement. If you do not agree to be bound to this Agreement, you cannot participate in one of the Quiet Adventures events.
Amendments. If Quiet Adventures sends you a revised version of this Agreement at the email address you provided us upon purchase, you automatically become bound by the latest version of the Agreement unless you withdraw from the event. You have an affirmative duty to notify us of any changes to your email address, and to review any changes to the Agreement. This Agreement was last modified on March 15th, 2016.
Program. You will be allowed to participate in the event and will receive the benefits as described on the page for the particular Quiet Adventures event that you purchased.
Health/Fitness Requirements. By signing up for this event, you agree and certify that you are age 18 or over, have reviewed the health and fitness requirements of the event, and that you are eligible to participate in the event. If your health or fitness circumstances change before the event such that your eligibility is affected, you must notify Quiet Adventures as soon as possible.
Group Program Rules. You agree and understand that information you share in any live event is not confidential. However, you agree to keep discussions between you and your fellow participants confidential, to the extent practicable, and you will not take, copy, photograph, record, or otherwise share any such private content or discussions with any third party, or on social media, without the express permission from your fellow participants. You understand that any abusive, harassing, threatening, or inappropriate conduct towards your fellow participants or towards Quiet Adventures staff is a material breach of this Agreement, and will result in your termination from the event, with no refund.
Event Rules. You agree and understand that you will be required to follow the rules for the specific event and the directions of the staff in charge of that Quiet Adventures event. You understand that if you refuse to abide by the event rules or the directions of Quiet Adventures staff, thereby causing unsafe conditions or harming the experience for the other participants, you may be removed from the event, with no refund.
Intellectual Property. Quiet Adventures own the copyrights and other intellectual property rights over any materials provided to you under this Agreement. You are granted a non-transferable, non-assignable, non-exclusive license to use such materials only for your own personal, private use. You are not allowed to teach these materials to others, to share them with others, or to display them anywhere, including on the Internet or via social media.
Assignments/Transfers. If you discover you will be unable to attend the event, you may transfer your seat to another participant on the waiting list for the event, or to a friend, family member, or any woman of your choosing, only upon the express permission of Quiet Adventures, for up to two (2) weeks before the event, for an Administrative Transfer Fee of $100.00. Your cancellation and transfer must be made in writing (via email) and be acknowledged by Quiet Adventures in writing (via email). Upon the successful transfer, your tuition will be refunded, minus the $100.00 Administrative Transfer Fee. No other assignments or transfers are allowed.
No Refunds. Your acceptance into a Quiet Adventures event holds your place in the event in lieu of Quiet Adventures accepting other attendees, and Quiet Adventures makes preparations for your participation in advance, including purchasing food and renting gear. By making this purchase and/or paying a deposit for a seat at this event, you agree and certify that you have reviewed all information carefully and fully understand the terms of this Agreement, what is and is not included, and that there are no refunds. You understand and agree that upon purchase, you are responsible for full payment, regardless of whether you have chosen to pay in full, or chosen to pay via an installment plan.
No Guarantees or Warranties. Quiet Adventures cannot and does not guarantee that any specific results will be obtained from the events sold on this site, because specific results involve factors beyond the control of Quiet Adventures. If you have any questions about our events, please contact us before you make a purchase. While Quiet Adventures does ask our participants about their allergies, sensitivities, and nutritional preferences, because we cannot control what the other participants will bring to events, we cannot guarantee or warranty an allergy-free or sensitivity-free experience during any of our events.
Right to Change or Cancel. Quiet Adventures reserves the right to modify an event, such as changing the specific trail or the location of the event, due to circumstances beyond the control of Quiet Adventures, including natural events such as weather, forest fire, geological events, or acts of God, and political events such as terrorism, changes in law, or civil disturbances. Quiet Adventures reserves the right to cancel an event at any time, at Quiet Adventure’s sole discretion, for any reason or for no reason. Upon cancellation, Quiet Adventures will issue you a full refund, or you may choose to transfer your tuition to a future event.
Medical Coverage. All participants are required to have adequate medical insurance coverage, and may be required to disclose medical insurance information to Quiet Adventures. Quiet Adventures does not and will not assume liability regarding medical care or medical evacuations.
Disclosure. Quiet Adventures is not providing mental health services or therapy through the programs provided under this Agreement. You should seek medical advice for any medical or mental health problems, and you have the responsibility to consult with a medical professional regarding any medical conditions.
Tuition Payments. Tuition payments may be made via credit card using Stripe or PayPal. Deposits are non-refundable, for the reasons stated above. Any remaining balances are due six (6) weeks from the event. If you do not pay your balance by the due date, you forfeit your deposit and your seat at the event will be given to someone on the waitlist. Any bounced tuition payments or chargebacks will be assessed a late payment charge at a monthly rate of 1.5% or the maximum allowed by law, whichever is less. Quiet Adventures shall have the right to recover expenses including collection costs and reasonable attorneys’ fees incurred in collecting overdue amounts.
Legal Terms. The terms of this Agreement cannot be waived or modified except by an express agreement in writing signed by all of the parties. This Agreement constitutes the entire agreement between you and Quiet Adventures and supersedes all prior or contemporaneous written or oral agreements between us with respect to the subject matter contained in this Agreement. If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the validity, legality, or enforceability of the remainder of this Agreement shall not in any way be affected or impaired. This Agreement shall be governed by and construed under the laws of the State of California. Any and all disputes or claims arising out of or relating to this Agreement shall exclusively be brought and heard in Santa Clara County, California, and both parties consent to jurisdiction in Santa Clara County, California.
